Tom is a corporate lawyer advising businesses on a full range of corporate matters including formation, inward investment, lending and security, MBOs, MBIs, sales and purchases.  He acts for companies, LLPs and partnerships in sectors including publishing, manufacturing, education, healthcare and IT.  He has also advised banks and venture capitalists in relation to investment and acquisition funding.  

Tom has experience of drafting share and asset sale and purchase documentation, articles of association, shareholders and joint venture agreements, drafting complex equity investment documentation, EMI schemes and structuring lending and security.  Tom works closely with the firm’s commercial dispute resolution team, property team and private client team to advise their clients on corporate matters.

Recent work includes:

  • Acting on £3 million bank / private equity funded share purchase of 60% interest in design and manufacturing business.  Drafted and negotiated corporate documentation on acquisition and constitution of target (shareholders’ agreement and articles).  
  • Acting on £4.5 million venture capital funded share purchase in education sector.  Investment involved full due diligence exercise and negotiation of investment agreement, intercreditor deed and newco articles, amendments to BVI holding company articles, implementation of UK trust arrangements, security documentation. 
  • Acting on £2.5 million venture capital backed MBO of scientific equipment manufacturing company from US parent.  
  • Acting for major high street bank on funding of private company share purchase. 
  • Acting on £1.8 million sale of specialist medical publishing business to plc.  Involved negotiation of placing agreement and SPA, production of disclosure letter and liaising between specialist teams
  • Acting on £14 million share purchase of car leasing business by UK subsidiary of multinational group. 
  • Purchase of contracts and goodwill of a training and consultancy business from an NHS Primary Care Trust by a Community Interest Company. 
  • Acquisition of assets of company in administration by MBO team (pre-pack). 
  • Advising accountancy firm on acquisition of IFA business and migration of funds under management. 
  • Setting up LLP to acquire and invest in sole trader horse training business.  Drafted membership agreement and transfer agreement.  Advised on structure of deal.
  • Drafting articles, investment agreement, loan note instrument, security trust deed, debentures and EMI scheme documentation for key employees relating to prepare company for inward investment by multiple parties.  

Tom read Modern History and Politics at the University of Sheffield before gaining his legal qualifications in Bristol.  He trained at Charles Lucas & Marshall, qualifiying in 2006 into the corporate team where he acted for a range of clients from owner managed businesses to large multinationals.  Tom joined Henmans in September 2010.
